Due Diligence

Due Diligence is a careful study of the investee in order to have an objective view of the company’s financial condition and possible risks that could significantly worsen the company’s financial condition in the future.

Operational Due Diligence

Operational analysis is used to identify the dependence of the financial results of the enterprise on costs and sales.
The main areas of operational analysis are:

  • historical development of the company,
  • information on the leadership structure,
  • assessment of organizational structure,
  • assessment of internal control and identification of its shortcomings,
  • assessment of the quality of income and cash flows.

Financial Due Diligence

In the process of financial analysis, a study of the company’s assets and liabilities, financial planning and control system, financial ratios are calculated, an independent inventory of assets and liabilities is conducted.
The financial analysis is carried out simultaneously with the audit of the enterprise, during which the correctness of accounting, reliability of reporting and other documentation, their compliance with applicable law are determined.

Tax Due Diligence

Tax analysis gives an opinion on the severity of the tax burden on the company. At the same time, the risk of claims by the tax authorities is assessed.

Based on the results of the Due Diligence, we provide a report that assesses the investment attractiveness and financial condition of the company.

If significant financial risks are identified, the Customer has the opportunity to withdraw from the agreement or make a proposal to reduce the price.
